1. Agreement to Terms
By accessing or using SchemaStack ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. The Service is operated by SchemaStack ("we", "us", "our").
2. Description of Service
SchemaStack is a data management platform that enables users to define schemas, validate data, and collaborate on structured data. The Service connects to databases provided or designated by the user and stores only metadata (schema definitions, view configurations, permissions, and account information).
3. Accounts
You must create an account to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must provide accurate and complete information when creating your account and keep it up to date.
You must be at least 18 years old or the age of majority in your jurisdiction to use the Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
4. Data Ownership
You retain full ownership of your data. SchemaStack does not claim ownership over any data stored in your databases. The Service stores only metadata necessary to provide its functionality (schema definitions, view configurations, user permissions, and workspace settings).
When using your own database infrastructure, your business data never enters SchemaStack's systems. When using our Managed Hosting services, your database is dedicated to your organization and your data can be migrated out at any time.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws
- Attempt to gain unauthorized access to the Service or its related systems
- Interfere with or disrupt the integrity or performance of the Service
- Use the Service to store or transmit malicious code
- Reverse engineer, decompile, or disassemble any part of the Service
- Resell or redistribute the Service without our written consent
- Use the Service in a manner that exceeds reasonable usage or places an unreasonable burden on our infrastructure
6. Subscription and Payment
The Service offers free and paid plans. Paid plans are billed monthly or annually as indicated at the time of purchase. You agree to pay all applicable fees. Fees are non-refundable except as required by law or as explicitly stated in these Terms.
We may change pricing with 30 days' notice. Continued use after a price change constitutes acceptance of the new pricing. If you do not agree to a price change, you may cancel your subscription before the change takes effect.
7. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access to the Service. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned downtime.
8. Limitation of Liability
To the maximum extent permitted by law, SchemaStack shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising from your use of the Service. Our total liability for any claim arising from these Terms or the Service shall not exceed the greater of (a) one hundred US dollars ($100) or (b) the amount you paid us in the 12 months preceding the claim.
9. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
10. Customer Responsibility for Backups
You are solely responsible for maintaining regular, tested backups of any database SchemaStack connects to. SchemaStack is not a backup service and does not guarantee the ability to restore data lost through your use of the Service, whether caused by your action, a Service error, a third-party provider, or any other cause. Before performing any schema migration, bulk operation, or other action that modifies your database, you are responsible for ensuring you have a current, restorable backup.
11. Database Modifications and Destructive Operations
The Service allows you to perform operations that modify or delete data and schema in your database, including but not limited to creating, altering, and dropping tables and columns, deleting or updating rows in bulk, applying schema migrations, and importing data. You acknowledge and agree that these operations can be irreversible and may result in permanent data loss. You are solely responsible for reviewing any preview, confirmation, or warning presented by the Service before executing such operations. SchemaStack is not liable for data loss, downtime, corrupted data, or any other consequences resulting from operations you or your users initiate.
12. Third-Party Services
The Service connects to databases and, where applicable, third-party services (such as database hosting providers, identity providers, managed Postgres services, and payment processors) that you supply or designate. SchemaStack is not responsible for the availability, performance, security, pricing, or terms of any third-party service. Outages, data loss, security incidents, or billing disputes caused by a third-party service are your responsibility to address with that provider, and SchemaStack has no liability arising from them.
13. Indemnification
You agree to indemnify, defend, and hold harmless SchemaStack and its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your use of the Service; (b) your violation of these Terms; (c) the data you upload, store, or process through the Service, including any claim that such data infringes on third-party rights or violates applicable law (including data protection and privacy law); or (d) your violation of any rights of another person or entity.
14. Termination
You may terminate your account at any time. We may suspend or terminate your access to the Service if you violate these Terms, with or without notice. Upon termination, your right to use the Service ceases immediately. Any data stored in your own databases remains unaffected by termination — it was always yours.
15. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Service and updating the "Last updated" date. Continued use of the Service after changes constitutes acceptance of the revised Terms.
16. Governing Law
These Terms are governed by the laws of the Netherlands, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved in the courts of the Netherlands.
